2. User Responsibilities

• Provide accurate, truthful, and complete information when creating an account or campaign.
• Maintain the security of your account credentials and notify us immediately of any unauthorized use.
• No scams, fraudulent activity, or misrepresentation is permitted.
• No impersonation of other individuals, businesses, or organizations.
• Respect other users and businesses on the platform.
• Comply with all applicable laws and regulations.
• Do not use the service for any illegal or unauthorized purpose.

3. Business Responsibilities

• Businesses must fulfill any promised rewards or offers to donors.
• Provide accurate business information and maintain up-to-date contact details.
• Respond to donor inquiries in a timely manner.
• Comply with all applicable business laws and regulations.
• Maintain appropriate business licenses and permits.

4. Donation Policy

• All donations are final and non-refundable. Once a donation is processed, it cannot be reversed.
• Funds go directly to the business or campaign you support via Stripe payment processing.
• Pendly charges a 10% platform fee on all donations, which is deducted before the business receives funds.
• Donations are processed securely through Stripe, and we do not store your payment information.
• You acknowledge that donations are voluntary and not tax-deductible unless explicitly stated.

5. Reward and Campaign Limitations

• Pendly is not responsible for business reward fulfillment. We are a platform that connects donors with businesses but do not guarantee that businesses will honor their promised rewards.
• Businesses are solely responsible for delivering any promised rewards, products, or services.
• We do not mediate disputes between donors and businesses regarding reward fulfillment.
• Campaign success or failure is not guaranteed and depends on various factors beyond our control.
• We reserve the right to remove campaigns that violate our terms or applicable laws.

6. Account Rules

• One account per person or business. No duplicate accounts or impersonation.
• You are responsible for all activity that occurs under your account.
• We reserve the right to suspend or terminate accounts that violate these terms.
• Account termination may result in loss of access to funds and data.
• You may not transfer your account to another person.

7. Disclaimers and Limitations of Liability

• Pendly is provided "as is" without warranties of any kind.
• We are not liable for any damages arising from the use of our service, including but not limited to:
• Business reward failures or non-delivery
• Financial losses from campaign success or failure
• Technical issues, server outages, or data loss
• Disputes between donors and businesses
• Third-party service interruptions (Stripe, Firebase, etc.)
• Our total liability shall not exceed the amount you paid us in the 12 months preceding the claim.
• We are not responsible for the accuracy of business information or campaign content.

8. User-Generated Content

• You retain ownership of content you upload but grant us a license to display it on our platform.
• You are responsible for ensuring you have rights to any content you upload.
• We may remove content that violates our terms or applicable laws.
• You grant us permission to use your business name and logo for promotional purposes.

9. Intellectual Property

• Pendly's logo, branding, and website content are our intellectual property.
• You may not use our intellectual property without written permission.
• Our platform technology and design are protected by copyright and other laws.

10. Termination

• We may suspend or terminate your account at any time for violations of these terms.
• We may modify or discontinue the platform at any time.
• Upon termination, your right to use the service ceases immediately.
• Some provisions of these terms survive termination.

11. Governing Law and Disputes

• These terms are governed by the laws of New York, USA.
• Any disputes will be resolved in the courts of New York, USA.
• You agree to submit to the personal jurisdiction of these courts.

12. Modifications to Terms

• We may update these Terms of Service at any time.
• We will notify users of significant changes via email or website notice.
• Continued use of Pendly after changes constitutes acceptance of new terms.
• It is your responsibility to review these terms periodically.
